Welcome to RK Stacks LLC. By engaging our services or using our website, you agree to these Terms of Service. Please read them carefully.

1. Services

RK Stacks LLC provides software development, AI integration, digital transformation consulting, and related technology services. Specific services, deliverables, timelines, and pricing will be outlined in individual project proposals or service agreements.

2. Engagement Process

All projects begin with a discovery consultation. Upon mutual agreement, we will provide a detailed proposal outlining:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Terms specific to your engagement

Work commences upon signed agreement and receipt of initial payment as specified in the proposal.

3. Payment Terms

Payment terms vary by project and will be specified in your service agreement. Typical arrangements include:

• Project-based: Milestone-based payments or percentage splits
• Retainer: Monthly recurring payments for ongoing services
• Hourly: Time-based billing for consulting and support

Invoices are due within the timeframe specified in your agreement. Late payments may result in suspension of work and interest charges.

4. Intellectual Property

Unless otherwise specified in your service agreement:

• Client-Specific Work: Upon full payment, you receive ownership of custom code and deliverables created specifically for your project
• Pre-Existing Materials: We retain ownership of any pre-existing tools, frameworks, libraries, or methodologies used in your project
• Open Source: Any open-source components remain subject to their respective licenses

5. Confidentiality

We respect your confidential information and will not disclose it to third parties without your permission, except as required by law. We may require a mutual Non-Disclosure Agreement (NDA) for projects involving sensitive information.

6. Project Changes & Scope

Changes to project scope, timeline, or deliverables after agreement signing may require a change order and adjusted pricing. We will communicate any impacts before proceeding with changes.

7. Client Responsibilities

Successful project completion requires client participation:

• Timely provision of necessary information, assets, and feedback
• Access to required systems, accounts, or resources
• Availability for scheduled meetings and reviews
• Prompt decision-making on items requiring approval

Delays caused by unavailability of required client inputs may affect project timelines.

8. Warranties & Limitations

We warrant that services will be performed in a professional and workmanlike manner. However:

• Software is provided "as is" without warranty of merchantability or fitness for a particular purpose
• We do not guarantee uninterrupted or error-free operation
• We are not liable for issues arising from third-party services, platforms, or integrations
• Our total liability shall not exceed the amount paid for the specific service giving rise to the claim

9. Termination

Either party may terminate an engagement:

• For convenience with 30 days written notice (unless otherwise specified)
• Immediately for material breach if not cured within 15 days of notice

Upon termination, client is responsible for payment of work completed to date. We will provide all completed deliverables upon receipt of final payment.

10. Limitation of Liability

To the maximum extent permitted by law, RK Stacks LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the fees paid for the specific service in question

11. Indemnification

Client agrees to indemnify and hold RK Stacks LLC harmless from claims arising from:

• Client's use of deliverables in violation of applicable laws
• Client-provided content, data, or materials
• Client's breach of these terms

12. Governing Law

These terms are governed by the laws of the State of Texas, USA. Any disputes will be resolved in the courts of Travis County, Texas.

13. Changes to Terms

We may update these terms periodically. Continued engagement after changes constitutes acceptance. We will notify active clients of material changes.
